Indemnification

Use of the platform comes with responsibilities. This page summarizes the user's indemnification obligations. It complements the Terms of Use; the Terms of Use control where there is any conflict.

Scope of Indemnification

To the fullest extent permitted by applicable law, the user agrees to defend, indemnify, and hold harmless Relationale LLC, Keiron Brown, WritingToolsPro, and their respective employees, contractors, contributors, licensors, affiliates, technology providers, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising from or related to the user's use of the platform.

Covered Claims

Covered claims include those arising from: misuse of the platform; violation of the Terms of Use, Acceptable Use Policy, or other published policies; infringement or misappropriation of third-party intellectual property rights; submission of content for which the user lacked appropriate rights; defamation, harassment, or other unlawful communication produced or distributed using the platform; violation of applicable law; and breach of user representations or warranties.

Process

The protected parties may, at their option, assume the exclusive defense and control of any matter subject to indemnification, in which case the user agrees to cooperate. The user shall not settle any claim affecting the protected parties without their prior written consent.

Survival

Indemnification obligations survive termination of the user's account and the user's use of the platform.

Jurisdictional Limits

Indemnification obligations apply to the maximum extent permitted by applicable law. Where local law restricts the scope, the obligation is reduced only to the minimum extent required.
